Terms & conditions

To access and use the RGUC Digital Asset Library (henceforth referred to as “DAL”), you hereby state that you have read and understood this agreement in its entirety and agree to abide by the following Terms and Conditions. By checking the “I agree” box at the end of this document ("the Agreement"), you consent to be bound by the agreement and its conditions.

IMPORTANT

The administrators of the DAL reserve the right to modify the terms of this Agreement and apply them retroactively.
Terms will apply to all previously supplied Assets made through an image request.
Assets, designs, graphics, illustrations, video, audio, and anything else you download from the Library are collectively known as "Assets."
You are responsible to ensure each Asset is used as intended in its original downloaded form.
Assets may be used only for their intended use and may not be shared with, distributed to, or stored by any third party.
Assets must be deleted after use; no local copies may be stored for on your computer for further use.
Where specific asset requests are made to the RGUC Media Team, they must be approved and employed for their specific purpose only.
Every usage of an Asset must be downloaded from the DAL. Some exceptions may apply, i.e. logos, icons, and maps.
These rules are required in order to audit and track Asset usage, as well as assist in forecasting future Asset needs.

ASSET LIBRARY AGREEMENT

This is an agreement between you and RGUC. You are required to read this agreement IN ITS ENTIRETY before accessing the Library or downloading any assets.

NOTE: USE OF THE LIBRARY IS A PRIVILEGE. FAILURE TO ABIDE BY THE RULES MAY RESULT IN DENIAL OF SERVICE. PLEASE ENSURE THAT YOU HAVE READ AND UNDERSTOOD THE RULES OF USING THE ASSET LIBRARY BEFORE ACCESSING THE LIBRARY OR DOWNLOADING ANY ASSETS.

The following terms and conditions (the "Terms & Conditions") govern your use of the DAL and form a legal agreement (the "Agreement") between RGUC and you (collectively referred to herein as "You" or "Your").

You are required to read and accept the Terms & Conditions of this Agreement by clicking the "I agree" button below to register. You must complete this step before You may access and download any Assets from the DAL. By agreeing, You confirm that You have read and understood these Terms & Conditions in full and that You will abide by them and be bound by this Agreement.

If you do not agree to be bound by all of the Terms & Conditions of this Agreement, please click on the "I disagree" button to decline this Agreement. By doing so, You will not be granted access to the Library and will be unable to access and download any Assets.

1. Grant of License

RGUC hereby grants You a limited, personal, non-transferable, non-exclusive, non-sub-licensable right to use the Assets under the terms of this Agreement. Should You violate the terms of this Agreement, Your license will be deemed automatically revoked.

2. Changes to the Terms & Conditions

The Terms & Conditions were last updated on 25th April 2016.

RGUC reserves the right to alter these Terms & Conditions at any time without prior notice. Your continued access or use of the DAL and/or the Assets after such changes indicates Your acceptance of the revised Terms & Conditions. It is Your responsibility to review the Terms & Conditions regularly.

3. Copyright

The Assets are and will remain the exclusive property and copyright of their respective creators, licensors and/or RGUC. National copyright laws, international treaty provisions and other applicable laws protect the Assets. All rights not expressly granted are reserved.

The DAL copyright and logos are the property of RGUC. Other product and company names mentioned on the website or other websites or services accessed through the website are owned by third parties. All contents of the website including this agreement are the copyright of RGUC and will be protected by other proprietary rights, including database rights.

No part of the DAL, including any e-mails we send, may be reproduced in any form, whether electronically or otherwise, without the prior written consent of RGUC.

4. Authorised Use of Assets

Assets may only be used by authorised RGUC and Dudley Group staff, to deliver education and/or promote their work within the Trust, once they have been registered as a user of the RGUC Digital Asset Library website. The Assets may be used in any print, online, film, video, broadcast or multi-media product for promotional, advertising or as granted, provided such uses do not allow for the repurposing, reproduction or re-distribution of the Assets or infringe on copyright. All use of the Assets and all marketing and advertising materials which You create using the Assets must comply with any and all other terms and provisions set out in any agreements between You and RGUC concerning the creation of such materials and/or with any procedures or guidelines as may be established from time to time by RGUC, including all rights of approval by RGUC as set out therein. For editorial promotional uses, You must include a copyright notice and credit adjacent to, or superimposed on top of, each asset in the format: "© Ron Grimley Undergraduate Centre" where applicable.

5. Unauthorised Use of Assets

You may not edit, alter or modify the Assets in any manner (except for standard colour correction or minor cropping for space limitations). Furthermore, you may not prepare derivative works of the Assets.

You may not sell, rent, sub-license, grant or otherwise transfer the Assets or any rights to reproduce the Assets to any person or legal entity.

The Assets may not be used in any electronic template or application, including without limitation, in any website design, without prior approval from the RGUC Media Team.

There may be certain additional restrictions pertaining to a particular asset included in the DAL. You must strictly adhere to any such particular restrictions outlined in the asset description.

6. Copyright Notice

You agree to provide copyright notices as may be prescribed in the DAL to each individual Asset.

7. Disposal of the Assets

Following the production of the materials, all reproducible copies of the Assets remaining in Your possession or under Your control, must be erased or destroyed to prevent unauthorised use of the Assets.

8. Liability for Unauthorised Use of Assets

Any use of the Assets in a manner not expressly authorised by this Agreement or in breach of a term or condition of this Agreement constitutes copyright infringement, entitling RGUC and/or the copyright owner to exercise all rights and remedies available to it under copyright or other laws. You agree that You shall be responsible for any fees, damages and/or compensation resulting from any such unauthorised use, publication or transmission of any asset and copyright infringement, including any claims by a third party.

9. Liability Disclaimer - Please read carefully

The main purpose of the DAL is to provide an online resource for RGUC and Dudley Group staff to access RGUC-produced digital assets.

While RGUC does make every effort to check the accuracy of information published on the DAL, it cannot give any warranty that information will be accurate or up-to-date and the user acknowledges that the information and services offered on the DAL may include inaccuracies, out of date information or typographical errors. In particular, and without limitation to the rest of this agreement, RGUC is not able to guarantee that the DAL will continue or be accurate during time of server failure. Information contained in, or accessible via, the DAL changes on a regular basis. RGUC may make improvements or alterations to the website at any time without notice.

RGUC is not responsible in any way whatsoever for the content of any site accessed using the DAL, nor can it warrant that use of the DAL will be free from virus contamination and you should take adequate steps to ensure that you virus check regularly when using the DAL on your computer, tablet, phone or other electronic devices. RGUC is not in a position to know for what purpose you will use information provided by the DAL and so cannot insure against loss.

RGUC makes no representations about the suitability of the information, and services contained on, or accessed via, the DAL for any purpose. All warranties, terms and conditions with regard to this information, and services, including all warranties, terms and conditions, implied by statute, collaterally or otherwise, of satisfactory quality, fitness for a particular purpose, title, and non-infringement are excluded to the fullest extent permitted by law.

RGUC shall not in any event be liable for any damages (whether indirect, incidental, special, consequential or otherwise) arising out of, or in any way connected with the use of the DAL, or with any delayed access to, or inability to use the DAL, or otherwise arising out of the use of the DAL, whether based on contract, tort, strict liability or otherwise. This does exclude or limit liability for death or person injury caused by negligence or for fraudulent misrepresentation.

10. Termination

The license contained in this Agreement will terminate automatically without notice to You from RGUC if You fail to comply with any term or condition of this Agreement. Upon termination, You must immediately: (i) stop accessing the Library; (ii) stop using the Assets; (iii) destroy or, upon the request of RGUC, return the Assets to RGUC; and (iv) delete or remove the Assets from your premises, computer systems and storage, either electronic or physical.

11. Severability

If one or more of the provisions contained in the Agreement is found to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected. Such provisions shall be revised only to the extent necessary to make them enforceable.
